Caledonian Trust (Cayman) Limited has over 20 years of experience administering special purpose vehicles (SPVs) used in structured finance transactions including securitizations, aircraft financing, CDOs and project and asset financing.
Summary of services provided to SPVs- Directors
We have two special purpose Cayman companies that are appointed as directors of the SPV. The board of these companies is comprised of industry experienced individuals resident in the Cayman Islands. - Trustees
We act as trustee of the trust that holds the shares of the SPV and attend to all routine shareholder matters. On liquidation of the structure we ensure that the SPV's assets are distributed to the beneficiaries. - Registered Office Services
- acting as secretary or assistant secretary to the company;
- preparing minutes of shareholders and directors' meetings;
- preparing registered agent certificates and certificates of incumbency; and
- Preparing and filing of all necessary returns and reports with the Company.
- Accounting and RTA Services
If required, financial statements can be prepared for the SPV on a negotiated basis. Registrar or transfer agency services are also available.
